Judge OKs Dynegy bankruptcy pact with creditors - Financial News

(Reuters) - Dynegy Inc on Friday won a U.S. bankruptcy judge's approval of a settlement with creditors, putting the power producer's Dynegy Holdings LLC unit one step closer to emerging from Chapter 11 protection.

Chief Judge Cecelia Morris of the U.S. Bankruptcy Court for the Southern District of New York approved the settlement at a hearing in Poughkeepsie, New York. Some creditors this week dropped their opposition to the accord.

Robert Flexon, chief executive of Dynegy and Dynegy Holdings, said the settlement has support from all major creditor groups. Creditors who joined hold more than $2.7 billion of claims against Dynegy Holdings, the company said.

Under the settlement, Dynegy and Dynegy Holdings would be combined, the Houston-based company said.

Dynegy Holdings' unsecured creditors, including holders of about $3.4 billion of senior notes, would receive a 99 percent equity stake in the combined company, while the Houston-based parent would receive the remaining 1 percent plus warrants.

Katy Sullivan, a spokeswoman, said Dynegy Holdings hopes to emerge from Chapter 11 in the early fall.

Dynegy Holdings plans to soon file an amended reorganization plan, which must be voted on by creditors and approved by the judge before it can emerge from Chapter 11.

The April 4 settlement resolved a dispute among creditors over whether Dynegy had acted properly last September in taking $1.25 billion of coal-powered plant assets from Dynegy Holdings.

Creditors of that unit said the transfer unfairly benefited shareholders, including billionaire financier Carl Icahn and the Seneca Capital Investments LP hedge fund and Franklin Resources Inc's Franklin Advisers unit at their expense.

A court-appointed examiner, Susheel Kirpalani, in March called the move a "fraudulent transfer" that harmed Dynegy Holdings.

Dynegy is the same company that in 2001 set and then canceled plans to buy Enron Corp as the business and finances of its larger rival deteriorated quickly.

Dynegy shares closed up nearly 5.5 cents to 53.5 cents on the New York Stock Exchange.

Observers: Edwards case was doomed from the start

GREENSBORO, N.C. (AP) ? A jury's refusal to convict John Edwards was less a redemption of the former White House hopeful than a rejection of the Justice Department's boldest attempt to make an example of someone in the name of enforcing campaign finance laws.

Thursday's verdict of not guilty on one count and a mistrial on five others bore out criticism from the earliest stages of the case that it was a reach, that prosecutors went after the ex-U.S. senator without the kind of evidence that justified the charges that he masterminded a scheme to use campaign donations to hide his pregnant mistress from the public and his terminally ill wife.

"As noted by nearly every campaign finance lawyer who considered the matter, this was a lousy case," said Melanie Sloan, executive director for the campaign finance watchdog group Citizens for Responsibility and Ethics in Washington. "All the salacious details prosecutors offered up to prove that Edwards is, indeed, despicable, were not enough to persuade the jury to convict him."

Several jurors said there just wasn't enough evidence. On network talk shows Friday, even jurors who thought Edwards was guilty on at least some counts said the prosecution wasn't able to prove it.

"We tried to put our feelings aside and what we were doing was just looking at the facts to come up with a verdict," juror Cindy Aquaro said on NBC's "Today" show.

Edwards faced six felony charges involving nearly $1 million provided by two wealthy political donors that was used to help hide the Democrat's mistress, Rielle Hunter, as he sought the White House in 2008. He faced a maximum sentence of up to 30 years in prison if convicted on all counts.

To convict Edwards, prosecutors needed to show not only that the candidate knew about the secret payments, which he denied, but that he knew he was violating federal law by accepting them. But the government was unable to produce any witness who said Edwards knowingly violated the law. Even former Edwards aide Andrew Young testified that Edwards told him he had consulted campaign finance lawyers who assured him the money was legal.

A former trial lawyer, Edwards was so unimpressed with the testimony against him that when the government rested, he turned to a member of his defense team and asked dismissively, "That's their case?"

When it was their turn, his lawyers presented just two days of evidence. Edwards elected not to take the stand in his own defense.

"This is a case that should define the difference between a wrong and a crime ... between a sin and a felony," Edwards' lead attorney Abbe Lowell told the jury during closing arguments. "John Edwards has confessed his sins. He will serve a life sentence for those."

Presented with no damning evidence and no obvious victim beyond the public's trust, jurors couldn't see their way to convicting the charismatic ex-candidate. Prosecutors are unlikely to retry the case, a law enforcement official told The Associated Press on the condition of anonymity because the decision will undergo review in the coming days.

Kieran Shanahan, a former federal prosecutor and Raleigh defense attorney who attended the trial, said he thought the prosecutors took their best shot with what was ultimately a very weak case.

"They got their best witnesses, their best evidence and the judge ruled in their favor on all major evidentiary issues," Shanahan said. "In the end, the jury just didn't believe them."

Steve Friedland, another former federal prosecutor who watched the case from inside the courtroom, said the jury's verdict was not surprising, considering the government had no smoking gun to prove Edwards guilty beyond a reasonable doubt.

But, he predicted, Edwards won't fare as well in the court of public opinion.

"Regardless of the decision, he still is Exhibit A for how we do not want our leaders to behave," said Friedland, now a professor at Elon University School of Law. "This is a huge victory for him, and big burden off his shoulders, but a hollow one given his astounding fall from grace."

From the start, lawyers for Edwards painted the prosecution as politically motivated. The investigation was originally spearheaded by George Holding, the then-U.S. Attorney for the Eastern District of North Carolina.

Appointed by President George W. Bush, Holding made a name for himself with criminal probes of high profile Democrats, including the state's former governor. When President Barack Obama came into office, Holding managed to forestall being replaced by a Democrat for years while the Edwards investigation was ongoing. He eventually resigned in 2011 as Edwards was indicted and soon announced his candidacy for Congress, winning in the GOP primary last month.

The final decision to prosecute Edwards was made by the Obama administration and the Justice Department's Public Integrity Section. Once highly admired, the section's reputation suffered after a corruption conviction against former U.S. Sen. Ted Stevens of Alaska was overturned in 2009 after it was found prosecutors knowingly concealed exculpatory evidence and allowed false testimony to be presented at trial.

The case against Edwards was tried by three prosecutors sent down from Washington and one prosecutor from Raleigh who had served as Holding's second-in-command. They presented 14 days of testimony and evidence, with Young their star witness.

An aide once so loyal he falsely claimed paternity of Edwards' baby and helped hide his mistress from the media for nearly a year, Young turned against his former boss and testified for the prosecution under an immunity agreement. Though the government's case recounted how Edwards repeatedly lied about his affair to both the American people and his cancer-stricken wife, the defense countered by shredding Young's credibility on the witness stand and using financial records to show the former aide and his wife kept most of the money at issue in the case, funneling it into the construction of the couple's $1.6 million dream home.

Before Edwards' prosecution, no federal candidate had been tried over payments from a third party that flowed to a mistress. Sloan said the lack of resolution in the case will likely leave candidates and regulators confused about what is and is not a legitimate campaign expense.

"The U.S. criminal justice system requires fair notice of what is and is not against the law," Sloan said. "Sadly, the Justice Department seems to have forgotten this fundamental American precept. Luckily, the jury remembered."

The research, published in Ecological Entomology, examined changes in the life cycles of butterflies at different elevations of a mountain range in central Spain. They served as a model for some of the changes expected to come with warming temperatures, particularly in mountain landscapes.

The researchers found that butterfly species which already tend to emerge later in the year or fly higher in the mountains have evolved to deal with a shorter window of opportunity to reproduce, and as a result may fare worse in a warming climate, compared to those that emerge over a longer time period.

"Insects and plants are at the base of the food pyramid and are extremely important, but they often get less attention when we are studying the ecological impacts of climate change," said Javier G. Illan, with the Department of Forest Ecosystems and Society at Oregon State University.

"We're already expecting localized extinctions of about one third of butterfly species, so we need to understand how climate change will affect those that survive," he said. "This research makes it clear that some will do a lot better than others."

Butterflies may be particularly sensitive to a changing climate, Illan said, and make a good model to study the broader range of ecological effects linked to insects. Their flight dates are a relevant indicator of future responses to climate change.

The research was done by Illan's group in the Rey Juan Carlos University in Madrid. It examined 32 butterfly species for five years at various elevations in a Mediterranean mountain range, and the delays in flight dates that occurred as a result of elevation change.

(AP) ? The college student suspected of killing and eating parts of a man staying at his home ranted months ago about "mass human sacrifices" on Facebook, one of several details that emerged Friday in the second gruesome case of alleged cannibalism in the U.S. in a week.

Authorities say Alex Kinyua, 21, admitted using a knife to kill and carve up Kujoe Bonsafo Agyei-Kodie, 37, before eating his heart and parts of his brain. The older man had been staying with the Kinyua family for about six weeks at their townhouse in the Baltimore suburb of Joppatowne.

The remains have been positively identified as Agyei-Kodie's and a relative in the United States has been notified, according to sheriff's office spokeswoman Monica Worrell. No other charges have been filed against anyone else, she said.

Both the victim and his alleged killer had attended nearby Morgan State University, a historically black university in Baltimore. Kinyua had just finished his junior year, and Agyei-Kodie was a graduate student who last attended classes in 2008. Both men were also originally from Africa; Kinyua, a U.S. citizen, moved from Kenya as a child and Agyei-Kodie was from Ghana.

Investigators haven't given a possible motive in the slaying. In a separate case on May 19, police said Kinyua beat a man with a baseball bat on Morgan State's campus, fracturing his skull and making him lose sight in one eye. Kinyua was free on $220,000 bail in that case. He is now being held without bond on a murder charge.

Kinyua, an electrical engineering student, had a very good GPA and had enough credits to be a senior in the fall, according to university spokesman Clinton Coleman. He could not comment on the May incident, but noted the university has a zero-tolerance policy toward violence and a student in such a situation would likely be suspended or expelled.

No students or faculty had approached the school with concerns about Kinyua, Coleman said.

In February, Kinyua posted a question on Facebook, asking fellow students at historically black colleges and universities if they were "strong enough to endure ritual HBCU mass human sacrifices around the country and still be able to function as human beings?"

He referred to the tragic shootings at Virginia Tech and "other past university killings around the country" and warned "ethnic cleansing is the policy, strategy and tactics that will affect you, directly or indirectly in the coming months."

Kinyua wrote on his page that he attended Morgan State and was a member of an ROTC-affiliated military honor society at the university, the National Society of Pershing Rifles. ROTC is a college-based U.S. military program that allows students to be commissioned as officers when they graduate. The page was linked to an Internet radio show called Warrior Syndicate Radio, which displayed a photo of Kinyua in green-and-white face paint. A Twitter account linked to him also had nonsensical and repetitive Tweets that ended in February.

Lt. Col. James Lewis, a professor of military science at Morgan State and the head of the ROTC program, said Friday that Kinyua participated in ROTC for 2? years but was "disenrolled" in January. He could not say why.

James Holt, a friend of the victim for about 10 years, told The Associated Press that Agyei-Kodie had met Antony Kinyua, the father of his alleged killer, while pursuing a doctoral degree. Antony Kinyua is a physics lecturer at Morgan State.

A spokeswoman for U.S. Immigration and Customs Enforcement said Agyei-Kodie came to the United States on a student visa but was not in compliance with the visa's terms. He was ordered removed from the country by an immigration judge in 2010 and was under ICE's supervision pending removal to Ghana. The agency had been waiting for documents from Ghana before returning him to the country.

Holt said the Kinyua family took in Agyei-Kodie when he hadn't worked for three years and was trying to re-establish his life.

"Dr. Kinyua was extremely kind in taking Kujoe into his house while Kujoe got his feet back under him." Holt said. "And I think Kujoe was on his way to re-establishing his educational status and completing his Ph.D. when this happened."

Authorities went to the Kinyua home Tuesday after Kinyua's brother found what he thought were human remains in two metal tins in the family's basement. Investigators found what they believe are Agyei-Kodie's head and hands. More remains were found outside a church about a mile away.

A woman who answered the door at the family's townhouse Friday morning said the family would not be commenting.

Daniel Ziolkowski, who lives two doors down from the Kinyuas, was mowing his lawn Saturday morning when he noticed Alex Kinyua trimming the bushes with a machete. He didn't look angry, but Ziolkowski said he had never seen that before.

Later, Ziolkowski's wife, Kathy, said police dug up the bushes during an extensive investigation at the home by police.

She said Alex Kinyua's high school-aged brother told her that he went downstairs to do laundry and noticed something was off. That's when he discovered the head and body parts, she said.

"He looked at me and said 'He brought shame to the family. You're going to be hearing about this for the next 10 years,'" she said.

The Ziolkowkis said the Kinyua family has always been friendly, but mostly kept to themselves.

"They're a very nice family. This is just such a shock. Very shocking and gruesome," she said.

Harford County Sheriff Jesse Bane, who has been with the office for 40 years, described the area as a quiet and semi-rural community. He said the county has had some gruesome investigations in the past but never an incident of cannibalism.

The Maryland attack came a few days after authorities said a man in Miami chewed away another man's face along a busy highway and wouldn't stop until an officer shot him to death. Witnesses say 31-year-old Rudy Eugene growled at the officer and continued to chew. The victim, identified as 65-year-old Ronald Poppo, a homeless man who lived under the causeway, was in critical condition and will be permanently disfigured.

There is on going debate as to whether this works or not. Many marketers think you will only get freebie seekers. Once they subscribe and get your freebie they will unsubscribe. The majority of these folks are not the kind of subscriber you want anyway, you are looking for long time subscribers as most of these folks are entrepreneur?s who will eventually purchase or possibly ask for further information.

This brings us to squeeze pages where you have your freebie along with a way for a viewer to signup to your newsletter.? I personally do not like the words ?squeeze pages? it sounds uninviting.? Many squeeze pages have OTO?s or one time offers associated with them.? Some have numerous offers before you can get to the actual freebie.? Sometimes you?ll never get to see the freebie until you actually purchase something.? I totally disagree with this type of marketing and it annoys me to no end.

In essence, it?s what millions of online guru?s do and they do it over and over again.? They are basically selling the same stuff to each other.

It is ok to have a squeeze page and only one ?OTO?.? But, your potential subscriber must have access to your freebie almost immediately. Most importantly is what do you have to offer?is your freebie any good? If not you should seriously look into what your are selling!

For much of history, humans relied on fish as a staple of their diet in most areas of the world. However, in recent years and in American culture, fish has given way to red meat and even poultry. Fish and other seafood is light and filling without many of the high-fat, high-salt ingredients in red meat. Also, fish boasts high levels of Omega-3, which increases brain health. Include fish as a recurring element of your diet.

Cook up several whole potatoes and stuff them to have later as a quick meal. Potatoes keep great after being baked or even boiled. Just stick them in your fridge and when you are ready for a quick meal, slice them open, add some low-fat cheese and maybe some beans or broccoli, and warm everything in the microwave.

In your attempt to feel the best that you can during the course of the day, make sure to moderate your meal plan. Overeating can create a surplus of nutrients in your body, which can make you feel uncomfortable and gain unnecessary fat. This can reduce your functional processing internally and damage your health.

Fat is not your enemy. Cutting fat out of your diet or eating very little fat can be harmful to you. Eat fat as part of a well-balanced diet. There is no need to eat a carton of ice cream in one sitting, but a bowl is fine. Everything in moderation.

In our culture, french fries and other potato products are staples of most ?satisfying? meals. Often, we do not believe a meal is complete without potatoes or some other poor nutrition and constipation bread product on the table. However, by replacing potatoes with fresh vegetables, you can save hundreds of calories per day and also increase your vitamin intake.

Choose whole grain over white breads. White breads are made from flour that has been highly processed and has lost much of its original nutritional value. Instead, pick whole grain breads. Not only are they better for your health, they taste better and are more filling, meaning that you eat less.

The most important meal of the day, breakfast gives you the energy and motivation needed to lose weight. Breakfast foods naturally contain the carbohydrates, vitamins, and healthy sugars that everyone needs to function effectively and lose weight. Without breakfast, many people will find themselves overeating later in the day. So, never skip breakfast; it will haunt you later that day.

Finding proper nutrition information is easy. For those of us starting out, it?s a good idea to eat a balanced diet. You will need to make sure you are getting about 15-20% protein, around 20-30% fat and at least 50-55% of carbohydrates. This will leave your body feeling fresh and refined.

Round Rock just rolled out some new consumer machines this week, so it comes as no surprise that it's doling out some fresh computing goodies to the enterprise as well. First up is the new Dell Latitude E series laptops that come with a variety of ports for your connecting pleasure: one eSATA/USB combo, two USB 3.0 ports, a serial connector, 3.5mm headphone jack, plus HDMI and Gigabit ethernet. All those sockets come embedded in a chassis made of magnesium alloy that's been powder-coated on the bottom, giving it a lightweight, yet sturdy look and feel. In keeping with the tough-but-light theme, the top of these Latitudes are sheathed in aluminum, and the hinges are made of steel. Additionally, though it's a new machine, it's backwards compatible with many previous-gen Latitude docks and batteries

International vs Global | CLU Business

Approximately 2500 years ago, Confucius supposedly said, ?When words loose their meaning, people loose their freedom?. What stuck from my early training as a sinologist tells me that this quote has often been misinterpreted and misused. A less common interpretation is that it is important that people who are engaged in discourse must first agree on the terminology before they can have a meaningful exchange of ideas. This is why one of the first things I discuss with students in my International Business course is the sometimes confusing terminology in the field ? international, multinational, transnational, global. Depending on the management silo we find ourselves in ? strategy, marketing, human resources, etc. ? we may use these words differently. Now, I?m not going to go into this discussion here today, but I wanted to share a different, but related observation. Recently I discovered the Google Ngram Viewer (http://books.google.com/ngrams) that provided me with a more historical perspective on the discussion over international business terminology. Ngram mines digital content that Google has stored in GoogleBooks for user-defined key words. Looking for the occurrence of the key words ?international business? and ?global business? between 1978 and 2008, we can see an interesting development: while the use of ?international business? is relatively stable over time (with maybe even a slight decline from 2000 on), we can see dramatic increases in the use of ?global business? at least for the 20 years following the mid 1980s.

Looking for an explanation, I turned to the world trade data as provided by the World Trade Organization. I expected to see a dramatic increase in world trade about the same time the use of the term ?global business? took off, maybe with some time lag of 3 to 5 years. However, it looks like the most dramatic increases in world (?global?) trade happened only in the late 1990s and not in the 1980s.

I haven?t yet had a chance to look into FDI data (particularly because clean, comparable global FDI data is hard to come by), so therefore, I don?t have a better explanation yet than to just ascribe the heightened popularity of ?global business? to a certain trend among authors and publishers. Which remains yet to be proven, of course. Contributions welcome!
